Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Capstra Labs ("Company," "we," "us," or "our"), governing your access to and use of the NetTrace AI platform, browser extension, IDE companion, website, and all related services (collectively, the "Service"). These Terms are effective as of May 10, 2026. By creating an account, installing the browser extension, downloading the IDE companion, or otherwise accessing or using any part of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service. If you are accepting these Terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.

2. Description of Service

NetTrace AI is a developer-focused debugging and network analysis platform comprising three primary components: (a) a browser extension that captures, clusters, and analyzes network requests, console errors, and user actions in real time for the purpose of network debugging and diagnostics; (b) an IDE companion application that integrates with AI-powered development workflows, providing MCP-based tool access and local-first debugging context to language model agents; and (c) a cloud-hosted SaaS layer that manages user accounts, authentication, device registration, subscription billing, and synchronization metadata. The Service is designed to operate under a local-first architecture, meaning that the majority of captured data remains on your device and is not transmitted to our servers unless you explicitly initiate such a transfer. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

3. Account Registration and Security

To access certain features of the Service, you must create an account by providing accurate, current, and complete registration information. You are solely responsible for maintaining the confidentiality of your account credentials, including your password and any API keys or device tokens associated with your account. You agree to notify us immediately at support@capstralabs.com if you become aware of any unauthorized use of your account or any other breach of security. We reserve the right to suspend or terminate any account that we reasonably believe has been compromised or is being used in violation of these Terms. You are responsible for all activities that occur under your account, whether or not you have authorized such activities.

4. Free and Premium Tiers

NetTrace AI is offered in both a free tier and one or more premium subscription tiers. The free tier provides access to core browser extension functionality with certain usage limitations. Premium tiers unlock additional features, including but not limited to the IDE companion, advanced AI workflow integrations, priority support, and higher usage limits. Premium subscriptions are billed on a recurring basis through our payment processor, Stripe. All fees are stated in U.S. dollars and are non-refundable except as required by applicable law or as otherwise stated in these Terms. New premium subscribers may be eligible for a 30-day free trial period, during which you will have full access to premium features. If you do not cancel your subscription before the trial period expires, you will be automatically charged the applicable subscription fee. You may cancel your subscription at any time through your account settings; cancellation takes effect at the end of the current billing cycle.

5. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not use the Service to engage in any activity that violates any applicable local, state, national, or international law or regulation. Without limiting the foregoing, you expressly agree that you will not:

  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or underlying architecture of any part of the Service, except to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation.
  • Use the Service for any malicious purpose, including but not limited to intercepting, monitoring, or capturing network traffic of third parties without their explicit consent, or using captured data to exploit security vulnerabilities.
  • Redistribute, sublicense, resell, lease, or otherwise make the Service or any derivative works available to third parties without our prior written consent.
  • Interfere with or disrupt the integrity or performance of the Service, or attempt to gain unauthorized access to any systems or networks connected to the Service.
  • Use automated means, including bots, scrapers, or crawlers, to access or interact with the Service in a manner that exceeds reasonable usage or places an undue burden on our infrastructure.

6. Intellectual Property

The Service, including all software, code, designs, text, graphics, logos, trademarks, and other content (collectively, "NetTrace AI Materials"), is the exclusive property of Capstra Labs and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your personal or internal business purposes in accordance with these Terms. No right, title, or interest in or to the NetTrace AI Materials is transferred to you, and all rights not expressly granted herein are reserved by Capstra Labs. Any feedback, suggestions, or ideas you provide regarding the Service may be used by us without obligation or compensation to you.

7. Privacy

Your privacy is critically important to us. Our collection, use, and disclosure of personal information is governed by our Privacy & Security Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your information as described in the Privacy & Security Policy. We encourage you to review the Privacy & Security Policy carefully to understand our practices regarding your personal data. In the event of any conflict between these Terms and the Privacy & Security Policy with respect to data handling, the Privacy & Security Policy shall control.

8. Data Handling

NetTrace AI employs a local-first architecture, meaning that network requests, response bodies, headers, cookies, tokens, console errors, and other debugging data captured by the browser extension or IDE companion are stored locally on your device by default and are not transmitted to our cloud servers unless you explicitly initiate such a transfer. You retain full ownership of and responsibility for all data you capture, generate, or process using the Service. You acknowledge and agree that when you choose to share captured data with third-party AI services, language model providers, or other external platforms through the Service's integrations, you are solely responsible for ensuring that such sharing complies with all applicable laws, regulations, and the terms of service of those third-party providers. Capstra Labs is not responsible for the privacy practices, data handling, or security of any third-party service with which you choose to share your data.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CAPSTRA LABS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. CAPSTRA LABS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. CAPSTRA LABS MAKES NO WARRANTIES OR REPRESENTATIONS REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY DATA, ANALYSIS, OR DIAGNOSTIC RESULTS PROVIDED BY THE SERVICE. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CAPSTRA LABS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE. IN NO EVENT SHALL CAPSTRA LABS' AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE TOTAL AMOUNT PAID BY YOU TO CAPSTRA LABS DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100), WHICHEVER IS GREATER.

11. Indemnification

You agree to indemnify, defend, and hold harmless Capstra Labs, its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or in connection with: (a) your use of or access to the Service; (b) your violation of these Terms or any applicable law or regulation; (c) your violation of any rights of a third party, including but not limited to intellectual property rights or privacy rights; or (d) any data or content you capture, process, or share through the Service. This indemnification obligation shall survive the termination or expiration of these Terms and your use of the Service.

12. Termination and Suspension

We reserve the right to suspend or terminate your account and access to the Service, in whole or in part, at any time and for any reason, including but not limited to a breach of these Terms, with or without prior notice. You may terminate your account at any time by contacting us at support@capstralabs.com or through your account settings. Upon termination, your right to use the Service will immediately cease, and we may delete your account data from our servers in accordance with our data retention policies. Any provisions of these Terms that by their nature should survive termination shall remain in full force and effect, including but not limited to Sections 6, 9, 10, 11, 13, and 18. If your premium subscription is terminated for cause prior to the end of a billing cycle, you will not be entitled to a refund for the remaining period.

13. Governing Law

These Terms and any dispute or claim arising out of or in connection with them or their subject matter shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions. You agree to submit to the exclusive personal jurisdiction of the state and federal courts located in the State of Texas for the purpose of resolving any dispute arising out of or relating to these Terms or the Service. You waive any objection to venue in such courts on the basis of inconvenient forum or otherwise. Nothing in these Terms shall prevent Capstra Labs from seeking injunctive or other equitable relief in any court of competent jurisdiction.

14. International Users

The Service is operated from the United States. If you access the Service from outside the United States, you do so at your own risk and are responsible for compliance with all applicable local laws. For users located in the European Economic Area (EEA), United Kingdom, or Switzerland, we acknowledge our obligations under the General Data Protection Regulation (GDPR) and process personal data in accordance with applicable data protection legislation. Because NetTrace AI employs a local-first architecture, the vast majority of your debugging data remains on your device and is never transmitted to our servers. Where cloud-processed data is necessary (such as account and billing metadata), we minimize the data collected and apply appropriate safeguards, including encryption in transit and at rest. You may exercise your rights under the GDPR — including access, rectification, erasure, restriction, portability, and objection — by contacting us at support@capstralabs.com.

15. California Consumer Privacy Act (CCPA)

If you are a California resident, the California Consumer Privacy Act (CCPA) and the California Privacy Rights Act (CPRA) grant you specific rights regarding your personal information. You have the right to know what categories and specific pieces of personal information we collect about you, the right to request deletion of your personal information, the right to opt out of the sale or sharing of your personal information, and the right to non-discrimination for exercising your CCPA rights. Capstra Labs does not sell your personal information to third parties. Because NetTrace AI operates under a local-first architecture, the personal information we collect via our cloud services is limited to account registration data, billing information, and device metadata. To submit a verifiable consumer request or exercise any of your rights under the CCPA, please contact us at support@capstralabs.com. We will respond to verified requests within forty-five (45) days as required by law.

16. Changes to Terms

We reserve the right to modify or update these Terms at any time at our sole discretion. If we make material changes to these Terms, we will provide you with at least thirty (30) days' prior notice by sending a notification to the email address associated with your account and by posting the updated Terms on our website with a revised effective date. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must discontinue your use of the Service and terminate your account before the revised Terms take effect. It is your responsibility to review these Terms periodically for changes.

17. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity, illegality, or unenforceability shall not affect any other provision of these Terms, and the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be deemed modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving the original intent of the parties to the greatest extent possible.

18. Entire Agreement

These Terms, together with the Privacy & Security Policy and any other policies or agreements expressly incorporated herein by reference, constitute the entire agreement between you and Capstra Labs with respect to the Service and supersede all prior or contemporaneous communications, proposals, understandings, and agreements, whether oral or written, between you and Capstra Labs regarding the subject matter hereof. No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
